Terms Of Use

Welcome to TidalRN. These Terms of Use (the "Terms") are a binding agreement between you and Tidal Shift Technologies, Inc. ("Tidal Shift," "we," "us," or "our"), a Wyoming corporation. They govern your access to and use of the TidalRN mobile application and related services (together, the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Services. The Services are intended for licensed nursing professionals, nursing students preparing for licensure, and other healthcare workforce participants. By using the Services, you represent that you meet these requirements and that any professional credentials you present are genuinely yours.

2. Your Account

• You must provide accurate, current, and complete information when registering, and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You may not share, sell, or transfer your account, and you may not create an account on behalf of someone else without authority to do so.
• Notify us immediately at the contact address in Section 21 if you suspect unauthorized use of your account.

3. Nature of the Services

TidalRN is a technology platform that helps travel nurses discover assignments, present credentials, communicate with hospitals and staffing partners, coordinate logistics, and connect with a professional community. You understand and agree that:

• Tidal Shift is not a staffing agency, employer, or joint employer, and does not employ you or place you with facilities;
• Any assignment, employment, or engagement you accept is between you and the hospital, health system, or staffing partner involved, under their terms;
• We do not guarantee the availability, accuracy, or terms of any listing, offer, pay rate, stipend, or housing option shown in the Services;
• Stipend estimates, area safety scores, and similar informational features are derived from public data sources, are provided for general guidance only, and may be incomplete, delayed, or inaccurate;
• Tidal Shift is not a healthcare provider, and nothing in the Services, including study or educational content, is medical, legal, tax, or financial advice.

4. Professional Information and Credentialing

• All licenses, certifications, work history, and other credentialing information you provide must be truthful, accurate, and yours.
• You authorize us and the facilities or partners you engage with through the Services to verify your credentials with state boards of nursing and other authorized verification sources.
• Misrepresenting credentials, submitting falsified documents, or impersonating another person is a material breach of these Terms and may result in immediate termination and referral to appropriate authorities.
• You remain solely responsible for maintaining your licenses in good standing and complying with the professional and legal requirements of your practice.

5. Job Discovery, Offers, and Negotiations

• Listings, matches, and recommendations are informational. A listing is not an offer of employment, and appearing in search results does not guarantee consideration.
• Offer and negotiation features, including response windows, expiration timers, and extensions, are provided to structure communications. Deadlines shown in the app may cause offers or negotiations to lapse automatically. You are responsible for responding within the applicable windows.
• The terms of any assignment you accept, including pay, stipends, schedules, and cancellation policies, are set by the facility or staffing partner, not by Tidal Shift. Review them carefully before accepting.

6. Timesheet Inquiries

The Services may allow facilities to send you timesheet questions and allow you to confirm or dispute entries. Your responses are transmitted to the inquiring facility or partner and may affect their records and your pay as determined by them. Tidal Shift does not calculate, approve, or pay wages and is not responsible for payroll decisions made by facilities or staffing partners. Submit accurate responses; knowingly confirming false time records is prohibited.

7. Alarms, Reminders, and Notifications

TidalRN offers shift alarms, reminders, and push notifications as a convenience. Delivery depends on your device settings, operating system behavior, battery optimization, network connectivity, and other factors outside our control, and may fail or be delayed. Do not rely on TidalRN as your sole means of waking for or remembering a shift, deadline, or other obligation. You are responsible for arriving at your assignments on time regardless of app behavior.

8. Community Guidelines and User Content

Your content

You retain ownership of the posts, comments, images, messages, reviews, and other content you submit ("User Content"). You grant Tidal Shift a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content as needed to operate, promote, and improve the Services. This license ends when your User Content is deleted from the Services, except for copies retained for legal, security, or backup purposes and content that other users have shared or quoted.

Rules for community spaces

When posting or messaging, you must not:

• Post patient information of any kind, including de-identified details that could reasonably identify a patient;
• Harass, threaten, defame, or bully others, or post hateful or discriminatory content;
• Post content that is false or misleading, including fabricated reviews or claims about facilities or other users;
• Post sexually explicit content, content that promotes violence or self-harm, or content that is otherwise unlawful;
• Spam, advertise without authorization, or solicit users for competing services;
• Share another person's private information without their consent.

We may, but are not obligated to, monitor, moderate, remove, or restrict User Content, and we may suspend or terminate accounts that violate these rules. Reviews and community posts reflect the views of their authors, not Tidal Shift, and we do not endorse or verify User Content. If you believe content violates these Terms, report it through the app or contact us at the address in Section 21.

9. License to Use the Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the TidalRN app on devices you own or control, for your own professional use. If you download the app from the Apple App Store or Google Play, your use is also subject to the applicable store's terms, and those stores are third party beneficiaries of this Section with the right to enforce it.

10. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or professional obligation;
• Access or attempt to access accounts, systems, or data you are not authorized to access;
• Scrape, harvest, or bulk-collect data from the Services, or use automated means to access the Services without our written permission;
• Reverse engineer, decompile, or attempt to extract the source code of the Services except where the law permits despite this restriction;
• Interfere with or disrupt the Services, servers, or networks, or circumvent security or rate-limiting measures;
• Copy, resell, sublicense, or commercially exploit the Services or content from the Services;
• Use the Services to build or train a competing product or dataset;
• Upload viruses, malware, or other harmful code.

11. Intellectual Property

The Services, including software, design, text, graphics, logos, and the TidalRN and Tidal Shift names and marks, are owned by Tidal Shift or its licensors and are protected by intellectual property laws. Except for the limited license in Section 9 and your own User Content, no rights are granted to you. Educational and study materials available in the Services may include openly licensed third party content; any such content remains subject to its own license terms and attributions.

If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.

12. Fees

TidalRN is currently free for nurses. We reserve the right to introduce optional paid features in the future. If we do, we will disclose pricing and terms before you incur any charge, and continued use of free features will not require payment.

13. Third Party Services

The Services may link to or interoperate with third party services such as app stores, mapping providers, housing and transportation services, and educational content providers. We do not control and are not responsible for third party services, their content, or their terms. Your dealings with any third party, including facilities and staffing partners, are solely between you and that party.

14. Suspension and Termination

• You may stop using the Services and delete your account at any time through the app or by contacting us.
• We may suspend or terminate your access, remove content, or restrict features at any time if we reasonably believe you have violated these Terms, pose a risk to other users or the platform, or where required by law. Where practical, we will give you notice and an opportunity to address the issue.
• Sections that by their nature should survive termination, including Sections 8 (license to User Content, to the extent stated), 11, and 15 through 20, survive.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TIDAL SHIFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, THAT NOTIFICATIONS OR ALARMS WILL BE DELIVERED, OR THAT ANY LISTING, ESTIMATE, SCORE, OR OTHER INFORMATION IS ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) TIDAL SHIFT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WAGES, LOST OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) TIDAL SHIFT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify and hold harmless Tidal Shift and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your misuse of the Services, your violation of these Terms, your violation of law or professional obligations, or your dealings with facilities, staffing partners, or other users.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.

Informal resolution first. Before filing a claim, you agree to contact us at the address in Section 21 and give us 30 days to try to resolve the dispute informally.

Arbitration. Except for small claims court matters and claims for injunctive relief relating to intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English and may be held by videoconference or, if an in-person hearing is required, in [INSERT COUNTY/STATE] or another mutually agreed location.

Class action waiver. You and Tidal Shift each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

Opt out. You may opt out of this arbitration agreement by emailing us at the address in Section 21 within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.

19. Changes to the Services or These Terms

We are continually improving TidalRN and may add, change, or remove features at any time. We may also update these Terms. If we make material changes, we will notify you through the app, by email, or by other reasonable means before the changes take effect. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, stop using the Services and delete your account.

20. General Terms

• Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented for specific features, are the entire agreement between you and Tidal Shift regarding the Services.
• Severability. If any provision is found unenforceable, the remainder will continue in effect, and the unenforceable provision will be modified to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may provide notices through the app, by email to the address on your account, or by posting on our website.
